General Terms and Conditions

1. Article 1 – Defenitions

 

1.1.Webshop:

The online platform operated by YvW Consultancy where digital products and services are offered.

 

1.2.Digital Products / Templates:

Digital materials such as Excel-VBA templates, software tools, designs or documents, available for purchase or download.

 

1.3.Applications: .

Software applications developed by YvW Consultancy, which may be sold through the webshop.

 

1.4.Services:

Consultancy, development and solution architect services, mainly focused on transport, logistics and financial processes.

 

1.5.Customer:

Any natural or legal person making use of the webshop or services of YvW Consultancy.

 

1.6.Agreement:

The agreement between YvW Consultancy and the Customer, established by purchase or written acceptance of a quotation.

 

1.7. Parties:

YvW Consultancy and the customer jointly 

 

2. Article 2 – Applicability

 

2.1.

These terms and conditions apply to all offers, agreements, deliveries and services of YvW Consultancy, unless expressly agreed otherwise in writing.

 

2.2.

Any deviations are only valid if confirmed in writing by YvW Consultancy.

 

2.3.

In case of conflict between these Terms and the Digital Product Policy, the latter shall prevail insofar as it concerns digital products.

 

3. Article 3 – Offer and Agreement

 

3.1.

All offers are non-binding. YvW Consultancy reserves the right to adjust prices and product information.

 

3.2.

An agreement is established once the Customer successfully completes payment or provides written confirmation of a quotation.

 

3.3.

For consultancy services, a separate written confirmation of assignment will always be issued.

 

3.4.

The Customer declares to have read and understood the product description and system requirements before completing the purchase.

 

4. Article 4 – Prices and Payment

 

4.1.

All prices are stated exclusive of VAT, unless otherwise indicated.

 

4.2.

Payments must be made in advance via the available payment methods.

 

4.3.

If payment is not received on time, the Customer is in default by operation of law and YvW Consultancy may charge statutory interest and collection costs.

 

5. Article 5 – Levering Digitale Producten

 

5.1.

Digital products are delivered by e-mail or download link after receipt of payment.

 

5.2.

Due to the digital nature of the products, returns or withdrawal are excluded after delivery, unless required by mandatory consumer law.

5.3.

The Customer is responsible for storing and safeguarding the received files.

 

6. Article 6 – Digital Products: Warranty & Risk Coverage

 

6.1. Warranty:

YvW Consultancy provides a functional warranty of 60–90 days within the purchased version and the specified system requirements (Microsoft Excel for Windows 2016 or higher; macros required).Products are designed exclusively for Microsoft Excel for Windows (version 2016 or higher).Use via Excel Online (Office 365 web versions) or Excel for Mac is not supported and falls outside the warranty.

6.2. Scope:

The product shall perform as described on the product page and in the accompanying documentation.

 

6.3. Remedy:

In case of a valid claim, YvW Consultancy will provide a patch, workaround or update free of charge.If the issue cannot be resolved, the Customer may receive a replacement or a (partial) refund.

 

6.4. Remedy period:

Claims must be submitted within 14 days of purchase. After this period, support or updates are only available through paid service agreements.

 

6.5. Exclusions:

Warranty does not apply in cases of:

•Use outside the stated compatibility (including Office 365 Online, Excel for Mac, or outdated Windows versions);

•Custom code or macro modifications;

•Data corruption, loss or defects beyond YvW Consultancy’s control;

•Changes to external APIs or services on which the product depends.General General Terms & Conditions

 

6.6. Data and Responsibility:

The Customer shall always test products using copy data and maintain adequate backups.

 

6.7. Reporting Procedure:

A report must include at least:

•A description of the issue;

•Steps to reproduce the problem;

•(Anonymised) screenshots or a test file.

 

6.8. Updates:

Bug fixes are provided within the same minor version. Major upgrades or new features fall outside the warranty and require a paid update.

 

6.9. Liability:

YvW Consultancy’s liability is limited to the purchase amount of the relevant digital product.

 

6.10. Legal Provisions:

Local consumer protection laws take precedence where applicable; for business use, B2B purchase is recommended.

 

7. Article 7 – Performance of Services

7.1.

YvW Consultancy shall perform its services to the best of its knowledge and ability, in accordance with the agreed assignment.

 

7.2.

The Customer shall provide all necessary information and materials in a timely and correct manner.

 

7.3.

YvW Consultancy is not liable for damages resulting from incorrect or incomplete information supplied by the Customer.

 

8.Article 8 – Liability

 

8.1.

YvW Consultancy’s liability is limited to direct damages up to the invoice amount of the relevant delivery or service.

 

8.2.

Indirect damages, consequential losses, loss of profit or data are excluded.

 

8.3.

This limitation does not apply in cases of intent or gross negligence by YvW Consultancy.

 

9. Article 9 – Intellectual Property

 

9.1.

All intellectual property rights relating to the digital products and services remain the property of YvW Consultancy.

 

9.2.

It is not permitted to copy, resell, decompile or redistribute templates or applications without written permission.

 

9.3.

The Customer only obtains a non-exclusive, non-transferable right of use.

 

10. Article 10 – Cancellation and Termination

 

10.1.

For services, cancellations must be made in writing. If cancellation occurs within 14 days before commencement, 50% of the agreed fee is due.

 

10.2.

YvW Consultancy may terminate the agreement if the Customer fails to meet its obligations.

 

11. Article 11 – Force Majeure

 

11.1.

In the event of force majeure, YvW Consultancy is not obliged to perform its obligations.

 

11.2.

Force majeure includes, but is not limited to: technical failures, internet outages, illness, war, pandemics, government measures or changes in third-party APIs.

 

12. Article 12 – Governing Law and Jurisdiction

 

12.1.

All offers, agreements, deliveries and disputes between YvW Consultancy and the Customer are governed exclusively by Dutch law, even if the Customer is established outside the Netherlands or delivery takes place abroad.

 

12.2.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded..

 

12.3.

Any disputes arising from or related to an agreement shall be submitted exclusively to the competent court in the district where YvW Consultancy is established, unless mandatory law dictates otherwise.
